Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the BidWalk mobile application, the bidwalk.ai website, and related services (together, the “Service”) provided by BidWalk (“BidWalk,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service. You represent that the information you provide is accurate and that you will keep it up to date. The Service is intended for use by contractors and construction professionals in the course of their business.

We create your account using your mobile phone number and a one-time verification code sent by SMS. You are responsible for maintaining access to your phone number and for all activity that occurs under your account. Message and data rates may apply. Notify us promptly of any unauthorized use.

• Access to BidWalk requires a paid, auto-renewing subscription (for example, monthly or yearly plans).
• Subscriptions are purchased through and billed by your Apple App Store account. Payment is charged at confirmation of purchase.
• Your subscription renews automatically at the end of each period unless you cancel at least 24 hours before it ends. You can manage or cancel your subscription in your device’s App Store settings.
• Refunds are handled by Apple in accordance with the App Store terms. Except where required by law, payments are non-refundable.
• Prices and plan features may change. We will give notice of material changes as required by applicable law.

BidWalk uses artificial intelligence to help generate cost estimates from your walkthrough recordings, uploaded documents, and inputs. Estimates are informational aids only. They may be incomplete or inaccurate and are not a substitute for your professional judgment. You are solely responsible for reviewing, adjusting, and approving every estimate before relying on it or presenting it to a customer. BidWalk does not guarantee the accuracy of any estimate, price, or quantity, and is not a party to any agreement between you and your customers.

You retain ownership of the videos, images, documents, and other content you submit (“Your Content”). You grant BidWalk a worldwide, non-exclusive license to host, store, process, and use Your Content solely to operate, provide, secure, and improve the Service, including generating your estimates and your personal price book. You represent that you have the rights necessary to submit Your Content and that it does not violate any law or third-party rights.

You agree not to:

• Use the Service for any unlawful, infringing, or fraudulent purpose.
• Upload content you do not have the right to share, or that contains malware.
• Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Service.
• Resell, sublicense, or misrepresent the Service or its output.

The Service, including its software, design, and branding, is owned by BidWalk and protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in the Service. You may not use our name or logos without our prior written consent.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that estimates will be accurate.

To the maximum extent permitted by law, BidWalk and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

You agree to indemnify and hold harmless BidWalk from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, the rights granted to you will end, and sections that by their nature should survive will survive.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless applicable law requires otherwise.

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
